Any Governor who does not participate in voting for the election or whose vote does not contribute to the election of a Director under Section A or Section B i or Section B ii or Section B iii of this Annex may assign the votes to which he or she is entitled to an elected Director, provided that such Governor shall first have obtained the agreement of all those Governors who have elected that Director to such assignment.

A decision by any Governor not to participate in voting for the election of a Director shall not affect the calculation of the eligible votes to be made under Section A, Section B i , Section B ii or Section B iii of this Annex.

Toejuichend het voornemen van de Midden- en Oosteuropese landen om de invoering van de democratie met een meerpartijenstelsel te bevorderen, daarmede de democratische instellingen, de rechtsstaat en de eerbiediging van de mensenrechten versterkend, alsmede hun bereidheid om hervormingen tot stand te brengen ten einde geleidelijk over te gaan op een markteconomie;.

De Bank heeft met haar bijdrage aan de economische vooruitgang en het herstel ten doel de overgang naar een open markteconomie te bevorderen en het particuliere initiatief en de ondernemingsgeest aan te moedigen in de Midden- en Oost-Europese landen die de beginselen van een democratie met een meerpartijenstelsel, pluralisme en een markteconomie aanhangen en toepassen.

Het is verdeeld in 1 miljoen 1. De oorspronkelijke totale pari-waarde van de volgestorte aandelen bedraagt drie miljard 3. Iedere inschrijving op het oorspronkelijk maatschappelijk kapitaal geschiedt in volgestorte aandelen en niet volgestorte aandelen in de verhouding Het aantal aandelen dat aanvankelijk beschikbaar is voor inschrijving door Ondertekenaars van deze Overeenkomst die lid worden in overeenstemming met artikel 61 van deze Overeenkomst is vermeld in Bijlage A.

Elk lid schrijft aanvankelijk in op ten minste aandelen. In geval van verhoging van het maatschappelijk kapitaal krijgt ieder lid een redelijke gelegenheid om, onder door de Raad van Gouverneurs vast te stellen voorwaarden, in te schrijven op een deel van het bedrag waarmede het kapitaal wordt verhoogd, dat gelijk is aan de verhouding waarin de aandelen waarop het reeds heeft ingeschreven staan tot het totale geplaatste kapitaal onmiddellijk voor de verhoging.

De leden zijn niet verplicht in te schrijven op een gedeelte van een verhoging van het kapitaal. De andere aandelen worden eveneens a pari uitgegeven, tenzij de Raad van Gouverneurs met een meerderheid van ten minste twee derde van de Gouverneurs die ten minste twee derde van het totale aantal stemmen van de leden vertegenwoordigen, onder bijzondere omstandigheden besluit ze onder andere voorwaarden uit te geven.

De leden zijn niet op grond van hun lidmaatschap aansprakelijk voor verplichtingen van de Bank. De eerste termijn wordt door elk lid betaald hetzij binnen zestig 60 dagen na de datum van inwerkingtreding van deze Overeenkomst, hetzij op de datum van nederlegging van zijn akte van bekrachtiging, aanvaarding of goedkeuring in overeenstemming met artikel 61, indien laatstgenoemde datum na de datum van inwerkingtreding valt.

De resterende vier termijnen vervallen achtereenvolgens telkens een jaar na de datum waarop de voorgaande termijn verviel en dienen te worden betaald, met inachtneming van de vereisten van wetgevende aard van elk lid.

De bedoelde promessen of schuldbrieven zijn niet verhandelbaar, niet rentedragend en op verzoek tegen pari-waarde betaalbaar aan de Bank.

Verzoeken tot betaling op bedoelde promessen of schuldbrieven dienen over redelijke tijdvakken zodanig te worden gedaan dat de waarde van dergelijke verzoeken in ECU op het tijdstip van het verzoek van een lid evenredig is aan het aantal volgestorte aandelen waarop is ingeschreven door en dat in handen is van het lid dat bedoelde promessen of schuldbrieven deponeert.

Bedoelde verzoeken tot storting dienen een gelijke waarde in ECU van elk niet volgestort aandeel te betreffen, berekend op het tijdstip van het verzoek.

Een beslissing hierover wordt door de Raad van Gouverneurs genomen met een meerderheid van ten minste twee derde van de Gouverneurs die ten minste drie vierde van het totale aantal stemmen van de leden vertegenwoordigen.

Een mogelijk ontvangend land kan de Bank verzoeken toegang tot haar middelen te verschaffen voor bepaalde doeleinden gedurende een tijdvak van drie 3 jaar, ingaande na de inwerkingtreding van deze Overeenkomst.

Zodra een dergelijk verzoek is gedaan, wordt het als integrerend deel van deze Overeenkomst daaraan gehecht,.

Aan het einde van genoemd tijdvak wordt het besluit om een zodanig land toegang te verlenen zonder de onder de letters a en b genoemde beperkingen, door de Raad van Gouverneurs genomen met een meerderheid van ten minste drie vierde van de Gouverneurs die ten minste vijfentachtig 85 procent van het totale aantal stemmen van de leden vertegenwoordigen.

De werkzaamheden van de Bank bestaan uit gewone werkzaamheden, die worden gefinancierd uit de gewone kapitaalmiddelen van de Bank bedoeld in artikel 7 van deze Overeenkomst, en bijzondere werkzaamheden, die worden gefinancierd uit de middelen van de Bijzondere Fondsen bedoeld in artikel 19 van deze Overeenkomst.

De beide soorten werkzaamheden kunnen worden gecombineerd. Uitgaven die rechtstreeks verband houden met de bijzondere werkzaamheden worden ten laste van de middelen van de Bijzondere Fondsen gebracht.

Alle andere uitgaven worden, met inachtneming van artikel 18, eerste lid, van deze Overeenkomst, verantwoord op door de Bank te bepalen wijze.

Voor de toepassing van dit lid wordt een staatsbedrijf niet geacht concurrerend te werken als het niet zelfstandig werkt in een concurrerend marktklimaat en als het niet is onderworpen aan de faillissementswetgeving.

De Raad van Bewind beoordeelt ten minste eenmaal per jaar de werkzaamheden en het leenbeleid van de Bank in elk ontvangend land ten einde te verzekeren dat deze in alle opzichten overeenstemmen met het doel en de taken van de Bank, als vervat in de artikelen 1 en 2 van deze Overeenkomst.

Een besluit ingevolge een zodanige beoordeling wordt genomen met een meerderheid van ten minste twee derde van de Bewindvoerders die ten minste drie vierde van het totale aantal stemmen van de leden vertegenwoordigen.

Bedoelde beoordeling heeft onder andere betrekking op de vooruitgang die elk ontvangend land heeft geboekt wat de decentralisering, demonopolisering en privatisering betreft, alsmede het relatieve aandeel van leningen van de Bank aan particuliere ondernemingen, staatsbedrijven die verkeren in het overgangsproces naar deelneming aan de markteconomie of privatisering, ten behoeve van de infrastructuur, technische bijstand en andere doeleinden.

Ten hoogste veertig 40 procent van het totale bedrag dat de Bank toewijst in de vorm van leningen, garanties en beleggingen in aandelen wordt, zonder afbreuk te doen aan haar overige in dit artikel genoemde werkzaamheden, verstrekt aan de staatssector.

Bedoeld maximum percentage geldt aanvankelijk voor een tijdvak van twee 2 jaar vanaf de datum waarop de Bank haar werkzaamheden aanvangt, de jaren te zamen gerekend, en daarna ten aanzien van elk volgend boekjaar.

Per land wordt ten hoogste veertig 40 procent van het totale bedrag dat de Bank toewijst in de vorm van leningen, garanties en beleggingen in aandelen in een tijdvak van vijf 5 jaar, de jaren te zamen gerekend, en zonder afbreuk te doen aan de overige in dit artikel genoemde werkzaamheden van de Bank, verstrekt aan de staatssector.

De Bank tracht niet door een dergelijke belegging een meerderheidsbelang te verkrijgen in de desbetreffende onderneming en oefent geen zeggenschap uit en aanvaardt geen rechtstreekse verantwoordelijkheid voor het beheer van een onderneming waarin zij heeft belegd, tenzij in geval van een feitelijk of dreigend in gebreke blijven ten aanzien van haar belegging, feitelijke of dreigende insolventie van de onderneming waarin de belegging is gedaan of in andere situaties die naar het oordeel van de Bank de belegging dreigen te schaden, in welk geval de Bank de maatregelen kan nemen en de rechten kan uitoefenen die zij noodzakelijk acht ter bescherming van haar belangen.

De Bank laat zich bij de verrichting van haar werkzaamheden leiden door de volgende beginselen:. Bij de vaststelling van deze voorwaarden geeft de Bank zich ten volle rekenschap van de noodzaak haar inkomsten veilig te stellen.

De Bank heeft een Raad van Gouverneurs, een Raad van Bewind, een President, een of meer Vice-Presidenten en al het overige leidinggevende en andere personeel als noodzakelijk wordt geoordeeld.

Iedere Gouverneur en iedere plaatsvervanger behartigt de belangen van het lid dat hem heeft benoemd. Een plaatsvervanger heeft geen stemrecht, behalve bij afwezigheid van zijn principaal.
